Menzies Aviation Bobba (Bangalore) Pvt. Ltd., (the Company), is a joint venture of Bobba Aviation Cargo And Ground Handling Services Pvt. Ltd., Bangalore (Bobba Group) and Menzies Aviation Cargo ( Bangalore) Ltd., Mauritius (Menzies Group).

Menzies Aviation Bobba (Bangalore) Pvt. Ltd., (the Company), is a joint venture of Bobba Aviation Cargo And Ground Handling Services Pvt. Ltd., Bangalore (Bobba Group) and Menzies Aviation Cargo ( Bangalore) Ltd., Mauritius (Menzies Group).

In pursuance of the requirements of the Companies Act, 2013, the Company has formed a Corporate Social Responsibility (CSR) Committee and the CSR Activities are listed hereunder;

CSR Committee

The Company has a duly constituted CSR Committee, which is responsible for fulfilling the CSR objectives of the Company. Our CSR Committee comprises of the following Members:

During the financial year 2023-24, the CSR policy of the Company has been formulated. The CSR activities of the Company are being implemented in accordance with the core values viz., proactive engagement with the local communities and striving towards inclusive development.

CSR Activities

The CSR activities are focused on the following broad themes with goals to improve overall socio economic indicators of Company’s area of operation:

Home for the aged and under-privileged

Promoting healthcare, sanitation and making safe drinking water available

Natural Resource Management, Social Forestry to ensure sustainable environment

Promoting education

Promoting gender equality, empowering women

Rural development projects

Slum area development

Ensuring environmental sustainability, ecological balance, protection of flora and fauna, animal welfare, agroforestry, conservation of natural resources and maintaining quality of soil, air and water

Contributions or funds provided to technology incubators located within academic institutions which are approved by the Central Government

Our CSR Responsibilities

We hereby affirm that the CSR Policy as approved by the Board, is being implemented and the CSR Committee monitors implementation of the CSR projects and activities in compliance with our CSR objectives.

Committee Meetings:

The CSR Committee shall meet at least once in a financial year and as and when required by the members of CSR Committee.

Governance

Every year, the CSR Committee will place for the Board's approval, a CSR Plan recommending the CSR Projects / activities to be carried out during that financial year and the specified expenditure budgets thereof. The Board will consider and approve the CSR Plan with any modification that may be deemed necessary.

The CSR Committee will assign the task of implementation of the CSR Plan within specified budgets and timeframes to such persons or bodies as it may deem fit.

The persons / bodies to which the implementation is assigned will carry out such CSR Projects as determined by the CSR Committee within the specified budgets and timeframes and report back to the CSR Committee on the progress thereon at such frequency as the Committee may direct.

The CSR Committee shall review the implementation of the CSR Projects / activities once a quarter and issue necessary directions from time to time to ensure orderly and efficient execution of the CSR Projects in accordance with this Policy. Once in every six months the CSR Committee will update status to the Board of Directors on the progress of implementation of the approved CSR activities carried out during that period. It shall be the responsibility of the CSR Committee to review such reports and keep the Board appraised of the status of implementation of the same. At the end of every financial year, the CSR Committee will submit its report to the Board.

CSR Expenditure

CSR expenditure will include all expenditure, direct and indirect, incurred by the Company on CSR Projects undertaken in accordance with the approved CSR Plan. Any surplus arising from any CSR Projects shall be used only for CSR projects. Accordingly, any income, if any, arising from CSR Projects will be netted off from the CSR expenditure and such net amount will be reported as CSR expenditure.
